Terms and Conditions

These Terms and Conditions govern the use of services provided by Adar Designs S.A. ("Company", "we", "us", or "our"). By purchasing or using our services, you agree to the terms outlined below.

These Terms and Conditions are governed by the laws of the Republic of Panama.
2. Services
Adar Designs S.A. provides professional video editing services including:
• Short-form video editing (Reels, TikTok, Shorts)
• Long-form video editing (YouTube videos, podcasts, interviews)
Services may be provided through:
• Monthly subscription packages
• One-off projects
• Custom service agreements
The exact scope of services is determined by the selected package or individual project agreement.
3. Payments
We accept the following payment methods:
• PayPal
• Bank Transfer
• Paguelo Facil
Payment structures may vary depending on the project and may include:
• Full payment upfront
• 50% before work begins and 50% upon delivery
• Payment after delivery
Non-Refundable Payments
Payments made after a video has been delivered are non-refundable.
4. Subscription Packages
Subscription packages provide clients with editing credits for a set number of videos per month.
Monthly Credits
Unused credits do not roll over to the following month, unless:
• It is the client's first month of service, or
• Adar Designs S.A. decides to allow rollover at its discretion.
Credit Validity
Credits purchased may be used for up to one (1) year from the payment date.
After this period, unused credits may expire.
Minimum Package
The minimum monthly package offered is $345 for 15 videos.
Cancellation
Clients may cancel their subscription at any time. Cancellation stops future billing but does not refund work already completed.
5. Credit Usage and Video Scope
Each video normally uses one credit.
However, depending on complexity, certain videos may require multiple credits (2–3 credits). This may apply to:
• Long-form videos
• Videos requiring complex editing
• Videos with extensive visual effects or animations
• Videos requiring significantly more editing time
Adar Designs S.A. reserves the right to determine the number of credits required for a project based on its scope.
6. Revisions
Clients are entitled to unlimited revisions within two (2) weeks after the first draft is delivered.
After this two-week revision window, revisions may no longer be accepted.
What Counts as a Revision
A revision includes:
• Fixing mistakes
• Adjusting elements already included in the video
• Replacing footage already present in the video
What Counts as a New Video
A request is considered a new video if the client provides:
• Completely new footage
• A new concept or storyline
• A separate project unrelated to the original edit
New videos require additional credits.
Major structural changes may be made if the issue resulted from an error on the part of Adar Designs S.A.
7. Delivery and Turnaround Time
Turnaround times depend on the selected package.
Average turnaround times are as follows:
15 Video Package
Average of one video every 48 hours.
30 Video Package and 90 Video Package
Average of one video every 24 hours.
Videos may also be delivered in batches. For example, multiple videos may be delivered after several days of editing work.
Turnaround times are averages and not strict guarantees.
Long-Form and Complex Videos
For long-form videos or projects requiring more complex editing, Adar Designs S.A. reserves the right to adjust delivery timelines depending on the scope of the project.
8. Working Days
Adar Designs S.A. generally does not operate on Sundays.
Work may occasionally be performed on Sundays at our discretion, but clients should not expect Sunday work as part of standard delivery timelines.
9. Delays
Delivery timelines may be affected by factors including but not limited to:
• Delayed client feedback
• Missing assets or footage
• Changes in project scope
• Technical issues
Such delays do not constitute a breach of service.
10. Client Responsibilities
Clients are responsible for providing:
• Video footage
• Scripts or references if applicable
• Branding materials
• Logos, fonts, and other assets
Clients are responsible for reviewing delivered videos carefully.
Failure to report issues within the revision window may result in revisions no longer being available.
11. Content Ownership and Rights
Upon full payment, the client owns the final delivered video files.
Adar Designs S.A. reserves the right to use completed videos for portfolio, marketing, and promotional purposes, unless the client explicitly requests otherwise.
12. Intellectual Property and Assets
All assets provided by the client remain the responsibility of the client.
Clients confirm they have the legal right to use all materials submitted, including:
• Footage
• Music
• Images
• Logos
• Other media
Adar Designs S.A. is not responsible for copyright claims resulting from materials provided by the client.
13. Performance Disclaimer
Adar Designs S.A. does not guarantee specific results, including but not limited to:
• Video views
• Virality
• Engagement rates
• Social media growth
• Revenue generation
Content performance depends on many factors outside of the editing process.
14. Termination of Services
Adar Designs S.A. reserves the right to terminate services at any time.
If services are terminated by the company, clients may receive a refund for unused credits based on their monetary value.
Completed work and used credits are not refundable.
15. Disputes and Chargebacks
Clients agree to contact Adar Designs S.A. before initiating a chargeback or payment dispute.
All disputes shall be governed by the laws of Panama.
16. Age Requirement
Clients must be 18 years of age or older to purchase or use our services.
17. Modifications to Terms
Adar Designs S.A. reserves the right to update or modify these Terms and Conditions at any time.
Updated terms will be posted on the company website and become effective upon publication.
